Resell Rights 

Terms and Conditions

1. Parties: This agreement is between you, the licensee, and Opulent Satin, Lda, the licensor. By purchasing, using, or reselling the "Earn While You Sleep" course ("Product"), you agree to be bound by these terms, which form a legally binding contract between you and Opulent Satin, Lda.

2. Acceptance of Terms: By purchasing and reselling the Product, you signify your agreement to these Terms of Purchase. Any changes to these Terms will be communicated through appropriate channels and take effect immediately upon notification.

3. Term: This agreement commences upon your purchase of the Product and will continue until terminated. Upon termination, you must cease all use, promotion, and sales of the Product.

4. Payment: You agree to pay either a single payment of €397 or 3 monthly instalments of €149. All payments are non-refundable. The failure to complete payment will result in immediate termination of your rights under these terms.

5. License Grant: Upon full payment, you are granted a non-exclusive right to resell the Product directly to end users. You are not authorized to resell the Product to other resellers.

6. Minimum Sale Price: The Product must not be resold for less than €397 or 3 monthly payments of €149. You may not offer the Product at a lower price or provide it as part of a bundle that devalues the established minimum price.

7. Marketing and Resale Restrictions: Any marketing or resale of the Product must be truthful and not misleading. The Product may be resold to end users only and cannot be offered to other resellers. Misrepresentation of the Product or violation of these terms will result in immediate termination of your resale rights.

8. Intellectual Property: All intellectual property rights in the Product remain the property of Opulent Satin, Lda. You are granted a license to resell but not modify, claim ownership, or create derivative works from the Product.

9. Indemnification: You agree to indemnify Opulent Satin, Lda against any losses or damages arising from your use or resale of the Product that violates these terms.

10. Limitation of Liability: Opulent Satin, Lda will not be liable for any indirect, special, incidental, or consequential damages arising out of or related to the use or inability to use the Product.

11. General Provisions: This agreement constitutes the entire agreement between you and Opulent Satin, Lda regarding your use and resale of the Product. It supersedes any prior agreements or communications.

12. Governing Law: These terms are governed by the laws of Portugal, without regard to its conflict of laws principles.

13. Dispute Resolution: Any disputes arising under these terms will be resolved through mediation, followed by binding arbitration if mediation is unsuccessful.

14. Severability: If any part of these terms is found to be invalid or unenforceable, the remaining portions will continue in full force and effect.
